Def Tech Ops provides digital marketing, business consulting, AI implementation, website design, custom app development, SaaS platforms (including the Architect App dashboard), SEO, and related technology services ("Services") as described on our website and in individual service agreements (Master Service Agreement). Specific service terms, deliverables, timelines, and pricing are governed by the signed MSA between Def Tech Ops and the client. Access to our proprietary software applications or dashboards is provided under a limited, non-exclusive, non-transferable license as detailed in the applicable agreement.

3. Intellectual Property

3.1 Our Property

All content on deftechops.com — including text, graphics, logos, images, and software — is the property of Def Tech Ops and is protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

3.2 Client Work Product

Upon full payment, clients receive ownership of the final deliverables created specifically for them under their MSA, except for any third-party components, licensed assets, or proprietary tools owned by Def Tech Ops. Specific IP terms are detailed in the signed MSA.

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the service relationship. This includes but is not limited to business strategies, client data, pricing, and proprietary processes. Confidentiality obligations survive termination of the service relationship.

To the maximum extent permitted by law, Def Tech Ops shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website. Our total liability in connection with any claim shall not exceed the total fees paid by you to Def Tech Ops in the three (3) months preceding the claim.

Our services may incorporate or recommend third-party platforms (e.g., Google Ads, Meta, Twilio, Sanity, Vercel). Use of these platforms is governed by their respective terms of service. Def Tech Ops is not responsible for the actions, content, or policies of third-party services.

Either party may terminate a service engagement in accordance with the terms of the signed MSA. Def Tech Ops reserves the right to immediately terminate service for clients who violate these Terms, engage in abusive behavior, or fail to maintain payment obligations.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Wasatch County, Utah.

12. Changes to Terms

We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a new effective date. Continued use of our services after changes constitutes acceptance.
